1. Nature of Service
Emergent Energy Solutions ("Emergent Energy," "we," "us") provides Geothermal Renewable Energy Credit (GREC) aggregation and brokerage services. We register qualifying geothermal heat pump systems with the appropriate state authorities and tracking systems (PJM-GATS or NEPOOL-GIS), manage monthly credit issuance, aggregate credits from multiple system owners, and execute market sales to utilities meeting their Renewable Portfolio Standard obligations.
2. Fee Structure
Emergent Energy charges zero upfront fees for GREC registration, certification, or tracking system enrollment. Our compensation is a percentage of GREC sale proceeds, netted against payments to system owners. If your system does not generate GREC revenue, we do not earn a fee. There are no registration fees, monthly charges, or hidden costs.
3. No Guarantee of GREC Issuance or Pricing
Emergent Energy does not guarantee that any geothermal system will be certified, that GRECs or T-RECs will be issued, or that credits will sell at any specific price. GREC eligibility is determined by state regulatory bodies. Market prices fluctuate based on supply, demand, regulatory changes, and Alternative Compliance Payment schedules. Revenue estimates provided during the assessment process are estimates only and do not constitute guarantees.
4. User Representations
By submitting a GREC assessment request or enrolling in our registration program, you represent that: (a) you are the owner of the geothermal heat pump system or are authorized to act on the owner's behalf; (b) all documentation provided (including installation invoices, Manual J calculations, ENERGY STAR certifications, and system specifications) is accurate and complete; (c) the system has not been previously registered for GREC or T-REC generation with another aggregator; and (d) you will notify Emergent Energy promptly of any material changes to the system, including decommissioning, relocation, or ownership transfer.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Emergent Energy Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of expected GREC revenue, or loss of data, arising from or related to our services or these Terms. Our total liability shall not exceed the total fees actually received by Emergent Energy from the affected system owner during the twelve (12) months preceding the claim.
6. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved in the courts of Chester County, Pennsylvania.
7. Changes to Terms
We reserve the right to update these Terms of Service at any time. Material changes will be communicated to enrolled system owners via email. Continued use of our services after notification constitutes acceptance of updated terms.
